Thanks for visiting the Yirego (“Yirego”, “we”, “us”) website, a platform which facilitates the sale of Yirego products (the “Products”). This document sets forth the terms and conditions that apply to our use of the Site (as defined below). By using or accessing the site and/or purchasing the Products, whether manually or by automated means, you agree to these Terms (as defined below). If you have any questions or concerns, please do not hesitate to contact us.

Terms of Use and Agreement
Please read the following terms of use (“Terms”) carefully before using the Site. Yirego and the web pages available at www.yirego.com are operated by Yirego Corp. The web page www.yirego.com and all linked pages together form the “Site”. These Terms apply to any use of the Site or use of the Products. The Site provides an interactive online service operated on the World Wide Web of the Internet (the “Web”), offering access to multimedia content through the Site (“Content”).

By accessing the Site, viewing Content or by using any of the Services or by using any Site applications (including mobile and desktop applications), you agree to be bound by these Terms, which govern the relationship between you and Yirego in relation to the Site and the Services (“Agreement”). These Terms affect your legal rights and obligations. If you do not agree to the Terms, please do not use the Site.

When the term is used herein, “Services” include, but are not limited to, any service or Product we make available to or perform for you through the Site.

Changes to this Agreement

We may revise these Terms from time to time and the most current version will always be posted to our website. If a revision is, in our sole discretion, material we will notify you at the e-mail address you have most recently provided to us. By continuing to access or use the Site and Services, you agree to be bound by the revised Terms. If you do not agree to the revised Terms, please stop using the Site and/or Services.

General Use and Site License

The Site and Services are intended for use only by those individuals who are at least the age of majority in their jurisdiction (the “Age of Majority”). If you are not the Age of Majority or older, you are not authorized to use the Site and Services without the permission and supervision of your parent or legal guardian. If you are under the Age of Majority, you warrant that you have the express permission of your parent or legal guardian to use the Site and the Services. If you are a parent or legal guardian and have authorized a minor to use the Site and Services, you agree that you are responsible for the online conduct of the minor, and for the consequences of any misuse of the Site and/or Services by the minor.

You agree that you are responsible for obtaining and maintaining all telephone, computer hardware and other equipment needed for access to and use of this Site and/or Services and all charges related thereto. We shall not be liable for any damages to your or any user’s equipment, or for any data charges resulting from the use of this Site.

Rules for Purchases

With respect to any purchase made on or through the Site and/or Services, you agree that: (i) you will not use an invalid or unauthorized credit or debit card or other payment method; (ii) you are solely responsible for identifying and selecting the product you wish to purchase; (iii) your payment will be charged to the credit or debit card or other payment method you use through our authorized payment partners (each a “Payment Partner”), which may include, but not be limited to, Stripe. Your use of a Payment Partner shall be governed by your user agreement with such Payment Partner. Stripe’s terms of use are available here.

Yirego reserves the right to reject, in its full discretion, any and all orders or purchases made on the Site.

You understand you will be responsible for paying all applicable taxes associated with your order of Products using the Site. You will be responsible for paying any duty or taxes, or brokerage fees applicable to the purchases that you make using the Services (“Taxes”).

When you pay for a purchase using currency other than American Dollars (a “Foreign Currency”), you will be charged that amount of Foreign Currency as is equivalent to the American Dollar price quoted for the Product which you are purchasing, at the then applicable exchange rate. All refunds will be made in American Dollars and Yirego shall have no liability whatsoever for any difference in exchange rate between the Foreign Currency between the time of purchase and the time of refund.

Delivery

You will be obligated to pay any applicable customs, excise or import taxes, and any shipping or delivery fees (collectively, the “Delivery Costs”) associated with the delivery of the Product to your specified shipping address, which must be specified at the time of your order.

In the event that Yirego ships the Product directly from its facilities to you, Yirego will be responsible for any damage to the Product during transit. In the event that a third-party ships the Product from its facilities to you, such third-party will be responsible for any damage to the Product during transit. In the event that your Product arrives damaged, please contact Yirego at support@yirego.com.

In the event that you desire to change the shipping address you have specified to Yirego for delivery (whether in the event of your original order or in connection with an exchange, repair or maintenance) and for which you have already been quoted Delivery Costs, Yirego shall be entitled to adjust any fees originally quoted for the Delivery Costs associated with such delivery to account for any increase of fees associated with such change of shipping address. Delivery Costs may be charged at the time of order or at the time of delivery, in Yirego’s sole discretion.

Yirego shall use its commercially reasonable efforts to ensure that your Product is delivered to you by the date or within the time period indicated to you upon your purchase of the same, but shall not in any way be liable for any delays in delivery beyond such date.

Product Warnings

Each Product available on the Site has its own safety information and instructions. Ensure that you read and understand all Product labels and warnings prior to using them, as well as any product-specific terms included herein. Yirego will not be liable for any use of the Products in contravention of the instructions included on the packaging, on the Site, or in these Terms for such Products.

General Refund and Exchange Rules

Yirego reserves the right to require you to make payment of any Delivery Costs associated with the return of your Product, whether for an exchange, repair or a refund. In the event of a return, repair or exchange which is not covered by the Drumi Warranty, you will be responsible for all Delivery Costs associated with the return, repair or exchange of your Product.

All refunds provided with respect to your purchase of a Product will be provided in American Dollars and will be equal to the amount of American Dollars originally paid for such Product. Yirego shall have no liability to you with respect to any fluctuation in currency conversion rates between the time of your original payment for the Product and the time of refund.

Each Product has its own specific return and exchange policies, which are included herein. Your ability to exchange or return any Product shall be subject to the return and exchange policies applicable to such Product, as set forth herein or as otherwise communicated to you.

Product-Specific Terms: Drumi

The following terms apply specifically to your purchase of Yirego’s Drumi product, a 100% non- electric washing machine (the “Drumi”).

Warranty

For a period of one (1) year after your receipt of your Drumi from Yirego, Yirego warrants that your Drumi will be free from defects in material and workmanship (collectively, a “Warrantied Defect”), provided that you have used the Drumi in accordance with the instructions for its use provided to you and in accordance with these Terms (the “Drumi Warranty”).

Refund/Exchange

In the event of a Warrantied Defect, you shall be entitled to have your Drumi repaired, replaced or refunded (which decision shall be in Yirego’s sole discretion). In the event of a Warrantied Defect, you shall provide notice in writing to Yirego of such Warrantied Defect to support@yirego.com, describing in reasonable detail the specifics of the Warrantied Defect. Yirego will respond to such notice with a determination as to whether the defect identified is a Warrantied Defect. Yirego shall be entitled to investigate whether such defect is indeed a Warrantied Defect, including, but not limited, to the request of further information with respect to the defect from you.

If the Warrantied Defect is capable of being remedied by the provision of a replacement part or part(s), Yirego may choose to deliver to you such replacement part(s) and instructions for their installation. You shall be responsible for all Delivery Costs associated with the delivery of such replacement part(s). In the event that such installation does not resolve the Warrantied Defect or if the Warrantied Defect is not capable of being remedied by the provision of a replacement part or part(s), you shall be entitled to return the Drumi to Yirego as set forth below.

In the event that any defect is not a Warrantied Defect and Yirego determines that such defect may be remedied by the provision of a replacement part or part(s), it will notify you and you may order such replacement part or part(s), provided that you make payment of the price quoted for such replacement part or part(s) and the Delivery Costs associated with the delivery thereof.

In the event of any return of your Drumi to Yirego, you shall be entirely responsible for all Delivery Costs associated therewith.

Upon receipt of the defective Drumi, Yirego may either repair or replace such defective Drumi and will deliver such repaired or replaced Drumi to you at the shipping address specified by you at the time of the return, or as may be otherwise communicated by you to Yirego. Yirego retains the right to charge applicable Delivery Costs to you for the return of such repaired or replaced Drumi in its sole discretion, and, if applicable, you agree to make promptly make payment of such Delivery Costs as Yirego may direct.

Except as set forth herein, there shall be no return, repair, or replacement rights for defects with the Drumi not falling within the category of a Warrantied Defect. In the event that you deliver a Drumi to Yirego for exchange, repair or refund and either (i) there are no Warrantied Defects; or (ii) a Warrantied Defect is caused (in the exercise of Yirego’s reasonable judgment) by your failure to comply with the Drumi Terms, Yirego shall notify you of the same (a “Non-Coverage Notice”). In the event you are delivered a Non-Coverage Notice, you may either elect to (i) have your original Drumi returned to you; or (ii) to have the Drumi repaired or replaced (a “Non- Covered Remedy”) In the case of a return of your original Drumi, you shall be responsible for all Delivery Costs. In the case of a Non-Covered Remedy, you shall bear the full cost of any service to the Drumi, including but not limited to, repair, replacement and the Delivery Costs associated with the delivery of such repaired or replaced Drumi to you.

Yirego’s sole obligation and your exclusive remedy with respect to a Drumi determined to be defective due to a Warrantied Defect (in the exercise of Yirego’s reasonable judgment) shall be limited to repair, replacement or refund of purchase price, at Yirego’s option. Replacement may constitute, at Yirego’s option, a new, refurbished or functionally equivalent item.

Usage & Safety Instructions

THIS SECTION CONTAINS IMPORTANT SAFETY INFORMATION. ENSURE THAT YOU READ AND UNDERSTAND THE FOLLOWING SECTION PRIOR TO USING YOUR DRUMI.

By purchasing a Drumi, you agree use Drumi in accordance with (i) the instructions provided to you at the time of your purchase or delivered to you with your Drumi (the “Instructions”); (ii) these Terms; and (iii) the following instructions (collectively, the “Drumi Terms”):

the Drumi is for personal household use only. You may not use the Drumi for any commercial uses;
the Drumi is designed to wash machine-washable textiles and may not be used for any non-machine-washable textiles;
the Drumi is designed for use with hot or cold tap water (up to a maximum of 140 degrees Fahrenheit/60 degrees Celsius);
the Drumi is designed for use with commercially available cleaning products suitable for use in household washing machines;
you must read and comply with all Instructions provided with your Drumi;

In order to reduce the risk of fire, serious injury, or death when using your washing machine

pets and animals should be kept away from your Drumi;
the Drumi is designed for use only by individuals over the age of 16;
do not allow children under the age of sixteen (16) to play on, with or inside the Drumi;
close supervision of nearby children is required when using the Drumi;
do NOT use chlorine bleach in conjunction with your Drumi;
do not mix chlorine bleach with ammonia or acids such as vinegar and/or rust remover – mixing chemicals may cause death;
ensure prior to mixing any cleaning products or other chemicals that such mixture will not cause any adverse effects – Yirego cannot ensure that any mixture of cleaning products or chemicals will be safe to use and will not be responsible for any such mixing of cleaning products or other chemicals;
always use cleaning solutions and solvents in accordance with the instructions provided for their use;
do not wash articles that have been previously cleaned, washed, soaked, or spotted with gasoline, dry cleaning solvents, other flammable or explosive substances (these
substances may give off vapors that could ignite or explode);
do not add gasoline, dry cleaning solvents or other flammable or explosive substances to the wash water used in the Drumi;
do not place your hands or any other limbs or part of your body inside of the Drumi while it is moving;
wait until Drumi has completely ceased movement prior to opening lid of the Drumi;
do not interfere with Drumi’s natural rotation, including, but not limited to, attempting to reverse the direction of such rotation as such interference may cause permanent damage to the Drumi;
do not use excessive force when operating the Drumi;
operate your Drumi in a dry, clear area to avoid tripping or falling while using the Drumi; do not store or operate your Drumi where it will be exposed to weather conditions;
ensure that your Drumi is completely drained after each use to prevent mold build up – keeping the Drumi lid open may assist in ensuring that the machine is dry after each use, depending on the environment in which you store the Drumi;
use only the Drumi carrying handle while transporting the machine – do not lift the machine by the gas seal;
always inspect the Drumi thoroughly before use;
wash the Drumi thoroughly if your inspection reveals any mold build up in or around the Drumi;
do not wash fiberglass materials using the Drumi (including but not limited to curtains and window coverings) – small particles may remain in the machine and stick to fabrics causing skin irritation;
Drumi may only be used for its intended purpose (i.e. the cleaning of machine-washable textiles in accordance with these Terms);
ensure that you follow all fabric care instructions recommended by the manufacturer of your textiles when using the Drumi;
keep all laundry aids (including but not limited to, detergents, bleach, and fabric softener) out of the reach of children;
do not operate your Drumi if any portion thereof is broken or if any parts are missing;
clean and perform maintenance on your Drumi regularly in accordance with the instructions provided; and
operate the Drumi in accordance with all instructions provided by Yirego.

In the event of damage to or defect with the Drumi due to your failure to abide by the Drumi Terms, you shall bear the full cost of any service to the Drumi, including but not limited to, repair, replacement and return.

The Drumi Terms do not necessarily cover all possible risks or conditions which may occur due to your usage of the Drumi. Ensure that you use caution, care and common sense when using your Drumi. Be sure to immediately contact your dealer, distributor, service agent or Yirego in the event of any damage to or issue with your Drumi, or if there are any items you do not understand in the Drumi Terms.

In the event of any medical issues which arise due to your use of Drumi, seek immediate medical attention.

Changes to Pricing Policy

Yirego reserves the right to change its pricing policy and structures at any time and from time to time; such changes are effective when Yirego posts the same to the Site. Yirego may, in its sole discretion, change some or all of Products at any time. In the event Yirego introduces a new product or service, the pricing for that product or service is effective at the launch of the product or service. All fees are quoted in the currency specified in accordance with such quote. If no currency is indicated in connection with any fees, such fees shall be deemed to be expressed in American Dollars.

Accurate Information; Registration and Passwords; URLs

In consideration of your use of the Site, Services, and/or Products, you agree to: (a) provide accurate information as prompted on the Site or through the Services; and (b) maintain and update such information to keep it accurate. If you provide any information that is inaccurate, or Yirego has reasonable grounds to suspect that such information is inaccurate, Yirego may suspend or terminate your use of the Services and/or the Site and/or decline to permit your continued use of the Site or purchase of Products and future access to the Site and/or the Services.

Prohibited Uses

As a condition to using the Site, Products and/or Services, you promise not to use the Site, Products and/or Services for any purpose that is unlawful or prohibited by these Terms, or any other purpose not reasonably foreseen to have been intended by Yirego. By way of example, and not as a limitation, you agree not to use the Site and/or Services:

in any way that is false, inaccurate or misleading;
in any way that is fraudulent or otherwise involves the sale of illegal or stolen goods;
to collect and use product listings, descriptions or images;
to abuse, harass, threaten, impersonate or intimidate any person;
to post or transmit, or cause to be posted or transmitted on or through the Site, any Content that is libelous, defamatory, obscene, pornographic, abusive, offensive, profane, violent or that infringes any copyright or other right of any person;
for any purpose (including posting or viewing content) that is not permitted under the laws of the jurisdiction in which you use the Services;
to post or transmit, or cause to be posted or transmitted, any communication or solicitation designed or intended to obtain password, account, or private information from any user of the Site or Services;
to reverse engineer, decompile or disassemble the Site or any Product, or to convert into human readable form any of the contents of this Site not intended to be so read, including but not limited to using or directly viewing the underlying code for the site except as interpreted and displayed in a web browser;
to create or transmit unwanted ‘spam’ to any person or any URL;
to violate or attempt to violate the security of the Site;
with the exception of accessing RSS feeds, you will not use any robot, spider, scraper or other automated means to access the Site for any purpose without our express written permission. Additionally, you agree that you will not: (i) take any action that imposes or might impose in our sole discretion an unreasonable or disproportionately large load on our infrastructure; (ii) interfere or attempt to interfere with the proper working of the Site or any activities conducted on the Site; or (iii) bypass any measures we may use to prevent or restrict access to the Site;
to promote or sell products or content unless specifically authorized in writing by Yirego to do so;
to advertise or perform any commercial, religious, political or non-commercial solicitation, including, but not limited to, the solicitation of users of this Site to become users of other on- or offline services directly or indirectly competitive or potentially competitive with Yirego;
to interfere with or attempt to interfere with the proper working of the Site, Products and/ or Services;
to sell or otherwise transfer your account;
for the purposes of resale or other commercial uses;
to attempt to restrict another user from using or enjoying the Site, Product and/or Services or to encourage or facilitate violations of these Terms;
to interfere in any way with the business of Yirego or any other user of the Site; or
in any other way that violates these Terms.

Yirego shall have the right, but no obligation, to monitor the content and your activities on the Site and/or Services to determine compliance with these Terms and any other operating rules we establish.

We reserve the right at all times to disclose any information we believe necessary to satisfy any law, regulation or governmental request, or to refuse to post or to remove any information or materials, in whole or in part, or to refuse any purchase orders that in Yirego’s sole discretion is inappropriate, objectionable or in violation of these Terms.

Yirego neither endorses nor is responsible for the accuracy or reliability of any opinion, advice or statement on the Site, whether it is provided by Yirego, our employees, or a third party. Under no circumstances will Yirego be liable for any loss or damage of any kind caused by reliance on information obtained through the Site or Services. Neither Yirego nor any third-party content provider shall assume or have any liability for any action or inaction by Yirego or any third-party content provider with respect to any conduct, communication or posting on the Site and/or Services.

Termination

Yirego may terminate or suspend any and all Services and/or your user account immediately, without prior notice or liability, including without limitation if you breach the Terms. Upon termination of your account, your license will be revoked and your right to use the Site and/or Services will immediately cease. If you wish to terminate your Yirego account, you may simply discontinue using the Site and/or Services. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, intellectual property ownership provisions, warranty disclaimers, indemnity and limitations of liability.

For greater certainty, any obligation on your part to pay a fee to Yirego or its Payment Partners pursuant to these Terms or any other agreement between you and Yirego shall survive termination or suspension, whether by you or Yirego. Any fee so payable will remain payable and your failure to pay such fee within a reasonable time shall be deemed to constitute a breach of your agreement with Yirego and may result in legal action. Furthermore, your failure to pay any such fee shall be a ground for termination of your license to use the Site.

The Site and/or Services may provide, or third parties may provide, links to other websites or resources. Because Yirego has no control over such sites and resources, you acknowledge and agree that Yirego is not responsible for the availability of such external sites or resources and does not endorse and is not responsible or liable for any content, advertising, products or other materials on or available from such sites or resources. You further acknowledge and agree that Yirego shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content or goods or services available on or through any such site or resource.

Intellectual Property Rights

Unless you are advised otherwise, everything you see or read on the Site and/or Services, including the design of the Products, is subject to copyright, trade mark, industrial design or other forms of legal protection owned by or licensed by third parties to Yirego. Content may not be used except as provided in these Terms or in the text of the Site and/or Services without the written permission of Yirego.

Images displayed on the Site and/or Services are either the property of, or used with permission by, Yirego. Use of these images by you, or anyone authorized by you, is prohibited unless specifically permitted by these Terms or specific permission provided elsewhere on the Site. Any unauthorized use of such images or other Content may violate the law.

The trade-marks and logos (collectively the “Trade-marks”) displayed on the Site and/or Services are registered and unregistered Trade-marks. Nothing contained in the Site and/or Services gives you permission to use these Trade-marks, and your use of the Trade-marks is strictly prohibited. Yirego reserves the right to enforce its intellectual property rights where applicable.

Acknowledgement of Risks; Release and Indemnity

By using the Site and/or the Services, you are acknowledging that you are aware that your use of the Drumi involves certain hazards, dangers and hazards including, but not limited to: (i) injury due to pinching by, banging into, tripping over, or dropping of the Drumi; (ii) damage or destruction of items inserted into the Drumi; and (iii) health risks associated with the misuse of cleaning chemicals, solutions and solvents. I AM AWARE OF THE RISKS, DANGERS AND HAZARDS ASSOCIATE WITH THE USE OF THE DRUMI AND I FREELY ACCEPT AND FULLY ASSUME ALL SUCH RISKS, DANGERS AND HAZARDS OF USING THE DRUMI.

You will indemnify, defend, and hold harmless Yirego against any actual or threatened third party Claim arising out of or based upon any breach of these Terms or your use of any Product, and indemnify Yirego from all damages, costs, and attorneys’ fees finally awarded in any such Claim or all amounts that you agree to pay to any third party to settle any such Claim. Your obligation under this section is contingent on:(a) Yirego giving you prompt written notice of the Claim; (b) Yirego granting you full and complete control over the defense and settlement of the Claim; (c) Yirego providing assistance in connection with the defense and settlement of the Claim as you may reasonably request; and (d) Yirego’s compliance with any settlement or court order made in connection with the Claim, provided that you may not agree to any settlement that imposes any obligation on Yirego without Yirego’s consent. Yirego will not defend or settle any Claim eligible for indemnification under this section without your prior written consent.

You hereby expressly and irrevocably release and forever discharge Yirego, its affiliated and associated companies, and their respective directors, officers, employees, agents, representatives, independent and dependent contractors, licensees, successors and assigns of and from any and all actions, causes of action, suits, proceedings, liability, debts, judgments, claims and demands whatsoever in law or equity which you ever had, now have, or hereafter can, shall or may have,

for or by reason of, or arising directly or indirectly out of your use of the Site and the Services, including, but not limited to, the use of the Products.

In no event shall Yirego be liable under contract, tort, strict liability, negligence or other legal theory with respect to the Site, the Services or any Content (i) for any lost profits or special, indirect, incidental, punitive, or consequential damages of any kind whatsoever, (ii) to provide substitute goods or services (however arising), or (iii) for any direct damages in excess of (in the aggregate) the amounts paid to Yirego by the entity claiming liability as against Yirego within the year immediately preceding the date on which such liability is alleged to have arisen.

Disclaimer of Warranties

EXCEPT AS SPECIFICALLY PROVIDED HEREIN OR SPECIFICALLY COMMUNICATD TO YOU BY YIREGO WITH RESPECT TO CERTAIN PRODUCTS AND/OR SERVICES OFFERED BY YIREGO ON THE SITE, THIS SITE, ITS CONTENT, AND ALL ASSOCIATED SERVICES OR PRODUCTS ARE PROVIDED BY YIREGO ON AN “AS IS” AND “AS AVAILABLE” BASIS. YIREGO MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THIS SITE, TO THE INFORMATION, CONTENT, MATERIALS OR PRODUCTS INCLUDED ON THIS SITE, OR TO THE FUNCTIONALITY OF ANY SERVICES OR PRODUCTS ASSOCIATED THEREWITH. OPERATION OF ITS SITE, NOR THAT ALL COMMUNICATIONS BETWEEN YOU AND YIREGO, OR BETWEEN YOU AND ANY OTHER USER OF THE SITE, WILL BE SECURE FROM ACCESS OR INTERFERENCE BY THIRD PARTIES.

The Security of the Site

Yirego maintains reasonable safeguards and personnel policies that are designed to guard the Site, the Services, our systems and our sellers’, customers’, business partners’ and others’ information. For example, for the security of your online visit to the Site, Yirego may make use of firewall barriers, encryption techniques and/or authentication procedures.

Unfortunately, no data transmission over the Internet can be guaranteed to be absolutely secure. As a result, while Yirego strives to protect your information, it cannot ensure or warrant the security of any Content you transmit to us, and you do so at your own risk. In the event of a breach of the confidentiality or security of your personal information, Yirego will notify you as necessary so you can take appropriate protective steps. Unless you indicate otherwise, we may notify you under such circumstances using the email address you provided to us when you registered with the Site.

Electronic Communications

When you visit the Site, use the Services or send emails to Yirego, you are communicating with us electronically. You consent to receive communications from Yirego electronically. You agree that all agreements, notices, disclosures and other communications that Yirego provides to you electronically satisfy any legal requirement that such communications be in writing.

Governing Law

These Terms of use are governed by Canadian law. By visiting the Site or using the Services, you agree to comply with all federal and provincial Canadian laws governing the Site, the Services, online conduct and acceptable Content. You further agree to comply with all applicable laws regarding the transmission of data exported from Canada or the country in which you reside.

Conflict with Other Agreements

These Terms are in addition to, and do not nullify, any other agreement between you and Yirego or any other applicable terms and conditions found on the Site. In the case of any direct conflict between these Terms and any other agreement between you and Yirego, the provisions of such other agreement shall prevail but only to the extent applicable to the conflicting provisions. You agree to comply with all rules or restrictions that are posted on the Site. Notwithstanding the above, when you use a Payment Partner in order to make a payment, your use of that service is governed by their respective user agreements.

Resolution of Disputes

If a dispute arises out of, or in connection with this Agreement, the parties agree to first meet to pursue resolution through negotiation.

Miscellaneous

No agency, partnership, joint venture, or employment is created as a result of the Terms and you have no authority of any kind to bind Yirego in any respect whatsoever. The failure of any party to exercise in any respect any right provided for herein shall not be deemed a waiver of any further rights hereunder. Yirego shall not be liable for any failure to perform its obligations hereunder, where such failure results from any cause beyond Yirego’s reasonable control, including, without limitation, mechanical, electronic or communications failure or degradation (including “line-noise” interference). Yirego may transfer, assign or delegate the Terms and its rights and obligations without consent.

Survival

Any of these Terms which by its nature should survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability, shall survive termination and continue in full force and effect except to the extent expressly set out in these Terms.

Severability

The invalidity or unenforceability of any of these Terms shall not affect the validity or enforceability of any other of these Terms and any such invalid or unenforceable term shall be deemed to be severable.
